Terms and Conditions of Trading
Definitions
In these Terms and Conditions, the following expressions have the meanings specified:
- "Perfect Panels": Refers to Perfect Panels and/or its successors.
- "Contract": The agreement between Perfect Panels and the customer to which these terms apply.
- "Goods": Any products, materials, or services provided under the contract.
- "Delivery Date": The date or time period specified for delivery of the goods under the contract.
- "Customer": The individual or entity named on the order and acknowledged by Perfect Panels.
- "Third Party Supplier": Any supplier providing materials to Perfect Panels for the production of goods.
- General
1.1 All orders accepted by Perfect Panels are subject to these terms and conditions, which supersede any other terms put forward by the customer, whether stated in an order, letter, email, tender, or during negotiations.
1.2 No representative of Perfect Panels has the authority to waive any of these terms orally. Any waiver must be in writing and signed on behalf of Perfect Panels.
1.3 Perfect Panels reserves the right to reject, cancel, or limit the quantity of any order without prior notice.
1.4 If the customer cancels the order, they will be responsible for any damages incurred, and no refund will be provided.
1.5 Perfect Panels, as part of its commitment to continuous improvement, reserves the right to revise or modify the technical specifications of the goods at any time.
- Delivery and Collection
2.1 While Perfect Panels will make every effort to meet agreed delivery dates, it will not be liable for any loss or damage caused by delays, regardless of the reason.
2.2 Unless otherwise stated, all prices quoted by Perfect Panels exclude delivery charges.
2.3 Perfect Panels does not deliver to non-mainland UK postcodes, including the Highlands and Islands of Scotland, Channel Islands, Isle of Man, Isle of Scilly, Isle of Wight, Northern Ireland, Jersey, and Guernsey.
2.4 Partial deliveries may be made at Perfect Panels' discretion.
2.5 Deliveries are kerbside only, handled by a single driver. The customer must ensure an authorized person is on-site to unload the goods.
2.6 A 30-minute unloading window is allocated once the goods arrive. Any delay beyond this may result in additional charges.
2.7 If delivery is unsuccessful due to the customer being unavailable, redelivery charges will apply.
2.8 The driver will wait a maximum of 15 minutes for unloading to begin before it is considered a failed delivery.
2.9 Failed deliveries will incur redelivery and handling fees.
2.10 Any missing or damaged items must be reported at the time of delivery. Written notification of damages or incorrect items must be provided within 24 hours, subject to the returns policy. Failure to notify within this period will be taken as acceptance that the items were delivered in good condition. If Perfect Panels verifies that goods were damaged in transit, replacements will be provided.
2.11 Goods must be collected within two working days of notification that the order is ready.
2.12 Storage charges will apply at a rate of 5% of the order value per 24 hours for goods not collected or delivered within two working days.
2.13 Delivery times are estimates only and depend on product availability.
2.14 Perfect Panels cannot guarantee that labels requested by the customer will remain attached upon delivery.
- Pricing
3.1 Unless otherwise stated, prices exclude VAT and any applicable taxes or levies. VAT will be added to all invoices. Special packaging is not included unless agreed upon.
3.2 Unless withdrawn, any quote or tender will remain valid for the period specified or, if unspecified, for 28 days.
3.3 No binding contract will be formed until Perfect Panels has issued an order acknowledgment.
3.4 Prices are not subject to discounts unless agreed in writing.
3.5 Errors and omissions in pricing are accepted.
3.6 The customer is responsible for ensuring that all order details are accurate. Perfect Panels will not be held liable for any errors or omissions once the customer has approved the order and payment has been made.
3.7 Perfect Panels reserves the right to amend prices or withdraw offers at any time.
3.8 Orders must be placed through the Perfect Panels online store and optimiser program.
3.9 Offcuts must be requested at the time of order.
- Payment
4.1 Payment can be made via credit/debit card or BACS. Orders will only be processed once full payment has cleared.
4.2 An order becomes contractually binding upon receipt of payment, at which point production will commence.
4.3 Goods and services remain the property of Perfect Panels until full payment is received.
- Returns and Replacements
5.1 Due to the bespoke nature of the goods, they cannot be returned for credit.
5.2 Any missing or damaged items must be noted on the delivery/collection note; otherwise, they will not be credited or remade.
5.3 Perfect Panels reserves the right to inspect any damaged goods before issuing replacements or refunds.
5.4 If replacement goods or a refund is provided, the original goods remain the property of Perfect Panels and must be returned at the customer’s expense.
- Third Party Suppliers
6.1 Perfect Panels is not responsible for the supply of goods or services from third-party suppliers, including but not limited to manufacturing quality or defects. Colour consistency or pattern matching to samples or literature cannot be guaranteed.
6.2 Goods ordered at different times may vary in grain, colour, or texture.
6.3 Perfect Panels will make every effort to ensure that goods are delivered in a timely manner and meet quality standards. Any issues with product quality must be noted on the delivery/collection advice note.
- Limitations and Liability
7.1 Perfect Panels' liability for death, personal injury, fraud, or breaches of statutory obligations is not excluded by these terms.
7.2 Clauses 7.3 and 7.4 are subject to clause 7.1.
7.3 Perfect Panels is not liable for any loss of profit, administrative inconvenience, disappointment, indirect, or consequential loss arising from the contract. Compensation is limited to any refund under these terms and conditions.
7.4 Perfect Panels' total liability, whether in contract, tort (including negligence), or breach of statutory duty, shall not exceed the amount paid by the customer for the goods or services.
7.5 All warranties, conditions, and terms implied by statute or common law are excluded to the fullest extent permitted by law.
7.6 This clause will survive the termination of the contract.
- Governing Law
8.1 The contract is governed by the laws of England, and the customer agrees to submit to the jurisdiction of the English courts.
